Terms of Service

These Terms of Service ("Terms") govern your access to and use of nterprise.ai and any related services (collectively, the "Services") provided by Kalpa Solutions Pty Ltd (trading as nterprise.ai) ("nterprise", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

We reserve the right to amend these Terms at our sole discretion. Updated Terms take effect immediately upon publication. Continued use of the Services following any amendment constitutes acceptance of the revised Terms.

Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction if higher, to use the Services. By using the Services you represent that you meet this requirement and that you have the legal authority to enter into a binding agreement.

Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

1. use the Services to produce, transmit, or distribute any content that is unlawful, defamatory, obscene, or otherwise objectionable;
2. attempt to gain unauthorised access to any system, network, or data;
3. reverse-engineer, decompile, or disassemble any part of the Services;
4. use the Services to send unsolicited commercial communications (spam);
5. harvest or collect user data without the express consent of those users;
6. use the Services in any manner that could impair, overburden, or interfere with our infrastructure;
7. use the Services to train, fine-tune, or develop competing artificial intelligence models; or
8. violate any applicable laws or regulations, including Australian Consumer Law.

AI Outputs Disclaimer

The Services incorporate artificial intelligence features that generate outputs based on user inputs. AI-generated outputs are provided for informational purposes only and do not constitute professional advice — legal, financial, medical, or otherwise. We make no warranty that AI outputs are accurate, complete, or suitable for any particular purpose. All AI-generated content should be independently verified by a qualified professional before being relied upon. See our AI Disclosure for full details of how AI is used within the Services.

Intellectual Property

All intellectual property in the Services, including software, design elements, trademarks, and documentation, is owned by or licensed to nterprise. We grant you a limited, non-exclusive, non-transferable licence to access and use the Services solely for your internal business purposes during the term of your subscription. This licence does not include the right to sublicense, resell, or create derivative works.

You retain ownership of all content you submit to the Services ("Customer Content"). You grant us a limited licence to process, store, and display Customer Content solely to the extent necessary to provide the Services. We will never use Customer Content to train AI models.

Liability Cap

To the maximum extent permitted by applicable law, our aggregate liability to you for any claim arising out of or in connection with these Terms or the Services — whether in contract, tort (including negligence), statute, or otherwise — is limited to the total fees paid by you to us in the three (3) months immediately preceding the event giving rise to the claim. This cap reflects the allocation of risk between the parties and is a fundamental element of the basis on which nterprise offers the Services.

nterprise is not liable for any indirect, incidental, special, consequential, or punitive loss, including loss of profits, loss of data, or loss of goodwill, even if advised of the possibility of such loss.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Australian Consumer Law or the Competition and Consumer Act 2010 (Cth), including any applicable consumer guarantees.

Subscriptions and Payments

Fees are charged in advance on a monthly or annual basis, as selected at the time of purchase. All fees are stated in Australian dollars (AUD) unless otherwise specified. We use Stripe for payment processing; by providing payment details you agree to Stripe's terms of service.

We reserve the right to change our pricing. Any price changes will be notified to you at least 30 days in advance. Your continued use of the Services after the effective date of a price change constitutes acceptance of the new pricing.

Suspension and Termination

We may suspend or terminate your access to the Services immediately upon written notice if you breach these Terms or if we reasonably believe your use poses a security risk or legal liability. You may cancel your subscription at any time from your account dashboard; cancellation takes effect at the end of the current billing period.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Each party irrevocably submits to the exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia. Before commencing legal proceedings, the parties agree to attempt to resolve any dispute in good faith through senior management escalation for at least 30 days.

Severance

If any provision of these Terms is found to be void, invalid, or unenforceable, that provision is severed to the extent necessary and the remainder of these Terms continues in full force and effect.
